Agreement to Terms

Welcome to Willow. These Terms of Service ("Terms") govern your access to and use of the Willow mobile application ("App," "Service," or "Willow"), provided by Cluely, Inc ("Company," "we," "us," or "our").

By downloading, installing, or using Willow, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

Eligibility

You must be at least 13 years old (or 16 years old if you reside in the European Economic Area) to use Willow. By using the App, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Effective Date" at the top of these Terms

  • We will notify you of material changes through the App or via email

  • Your continued use of Willow after changes become effective constitutes acceptance of the modified Terms

We encourage you to review these Terms periodically to stay informed of any updates.

Account Registration and Security

Creating an Account

To access certain features of Willow, you may need to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information

  • Maintain and promptly update your account information

  • Keep your password secure and confidential

  • Notify us immediately of any unauthorized access to your account

  • Accept responsibility for all activities that occur under your account

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

Account Termination by You

You may delete your account at any time through the App settings. Upon deletion:

  • Your access to Willow will be terminated

  • Your personal data will be deleted in accordance with our Privacy Policy

  • Active subscriptions will remain in effect until the end of the current billing period

Subscription and Payment Terms

Subscription Options

Willow offers the following auto-renewable subscription options:

  • Monthly Subscription: Billed monthly

  • Yearly Subscription: Billed annually

  • Lifetime Subscription: One-time payment for lifetime access

Payment Processing

All payments are processed through Apple's In-App Purchase system. By subscribing, you agree to Apple's Terms of Service and acknowledge that Apple handles all payment transactions.

Automatic Renewal

Your subscription will automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current subscription period. Your iTunes Account will be charged for renewal within 24 hours prior to the end of the current period at the same price.

Managing Subscriptions

You can manage your subscription and turn off auto-renewal by:

  • Going to your iTunes Account Settings after purchase

  • Following Apple's instructions for managing subscriptions

  • Accessing subscription management through the App settings

Cancellation Policy

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period, and you will continue to have access to premium features until that time. No partial refunds will be provided for unused portions of a subscription period.

Refund Policy

All sales are final. Refund requests must be submitted to Apple through your iTunes Account, as we do not have the ability to process refunds for In-App Purchases. Apple's refund policies apply.

Price Changes

We reserve the right to change subscription prices at any time. Price changes will not affect existing subscriptions during their current billing period. You will be notified of any price changes before they take effect, and your continued use of the subscription after the price change constitutes acceptance of the new price.

Free Trial (if applicable)

If we offer a free trial period:

  • You must cancel before the trial period ends to avoid being charged

  • Cancellation during the trial period will terminate access to premium features immediately

  • You may be limited to one free trial per account

License and Permitted Use

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use Willow for your personal, non-commercial use on devices that you own or control.

Restrictions

You agree NOT to:

  • Copy, modify, or create derivative works of the App

  • Reverse engineer, decompile, or disassemble the App

  • Remove, alter, or obscure any copyright, trademark, or proprietary notices

  • Use the App for any illegal or unauthorized purpose

  • Access the App through automated means (bots, scrapers, etc.)

  • Interfere with or disrupt the App's functionality or servers

  • Attempt to gain unauthorized access to any part of the App

  • Use the App to transmit viruses, malware, or harmful code

  • Impersonate others or provide false information

  • Violate any applicable laws or regulations

  • Use the App for commercial purposes without our written permission

  • Share your account credentials with others

  • Resell, redistribute, or sublicense access to the App

Intellectual Property

All content, features, and functionality of Willow, including but not limited to:

  • Software code and architecture

  • Design, layout, and user interface

  • Pre-written affirmations and content

  • Graphics, logos, and trademarks

  • Audio files and voice guidance (if applicable)

are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use any of our intellectual property without our prior written consent.

User-Generated Content

Your Content

Willow allows you to create and store content, including:

  • Custom affirmations and goals

  • Voice recordings

  • Custom wallpapers

  • Personal notes and preferences

You retain all ownership rights to the content you create.

License to Your Content

By creating content in Willow, you grant us a limited, worldwide, non-exclusive, royalty-free license to store, process, and display your content solely for the purpose of providing and improving the App. We will not share your personal content with third parties except as described in our Privacy Policy.

Content Standards

You agree that your content will not:

  • Violate any laws or regulations

  • Infringe on the intellectual property rights of others

  • Contain hate speech, harassment, or discriminatory content

  • Include explicit sexual content or nudity

  • Promote violence, self-harm, or dangerous activities

  • Contain personal information of others without consent

  • Include spam, malware, or malicious code

Content Removal

We reserve the right to remove any content that violates these Terms or that we deem inappropriate, without notice. However, we are not obligated to monitor user content and assume no liability for user-generated content.

Backup Responsibility

You are responsible for maintaining backups of your content. We are not liable for any loss or corruption of your content, though we will make reasonable efforts to prevent data loss.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Willow, you also agree to our Privacy Policy.

Key privacy points:

  • We collect information you provide and automatically collected usage data

  • We use your information to provide and improve the App

  • We do not sell your personal information to third parties

  • You can delete your account and data at any time

  • Voice recordings are encrypted and stored securely

IMPORTANT: Willow is designed for general wellness, personal development, and self-improvement purposes only. The App is NOT intended to:

  • Diagnose, treat, cure, or prevent any medical or mental health condition

  • Replace professional medical, psychological, or psychiatric care

  • Provide medical, mental health, or therapeutic advice

  • Serve as a substitute for professional counseling or therapy

No Doctor-Patient Relationship

Use of Willow does not create a doctor-patient, therapist-patient, or any other professional healthcare relationship. The affirmations and content provided are for informational and motivational purposes only.

You acknowledge that:

  • Results from using affirmations vary by individual

  • We make no guarantees about outcomes or benefits

  • You use Willow at your own risk

  • You are responsible for your own health and wellbeing decisions

Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement

  • Warranties that the App will be uninterrupted, error-free, or secure

  • Warranties regarding the accuracy, reliability, or completeness of content

  • Warranties that defects will be corrected

We do not warrant that:

  • The App will meet your requirements or expectations

  • Your use of the App will be uninterrupted or error-free

  • Any content provided will be accurate or reliable

  • Defects or errors will be corrected

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

Indirect Damages

  • Indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, revenue, data, or use

  • Loss of business opportunities

  • Personal injury or property damage

  • Emotional distress

Direct Damages Cap

Our total liability to you for any claims arising from your use of Willow shall not exceed the amount you paid to us for subscriptions in the twelve (12) months preceding the claim, or $100, whichever is greater.

Exceptions

Some jurisdictions do not allow limitation of liability for certain damages, so these limitations may not apply to you. Nothing in these Terms limits our liability for:

  • Death or personal injury caused by our negligence

  • Fraud or fraudulent misrepresentation

  • Any liability that cannot be excluded by law

Indemnification

You agree to indemnify, defend, and hold harmless us, our officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the App

  • Your violation of these Terms

  • Your violation of any rights of another person or entity

  • Your content or conduct on the App

  • Your violation of any applicable laws or regulations

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

Third-Party Services and Content

Apple App Store

Willow is distributed through the Apple App Store and is subject to Apple's terms and conditions. These Terms are between you and us, not with Apple. Apple has no responsibility for the App or its content.

You acknowledge that:

  • Apple has no obligation to provide maintenance or support for the App

  • Apple is not responsible for addressing any claims you or third parties have relating to the App

  • Apple is not responsible for investigation, defense, settlement, or discharge of any intellectual property infringement claim

  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them

Third-Party Content

The App may display or link to third-party content, websites, or services. We do not endorse, control, or assume responsibility for any third-party content. You access third-party content at your own risk, and third-party terms and privacy policies apply.

Analytics and Service Providers

We use third-party analytics and service providers to help operate and improve the App. These providers have their own terms of service and privacy policies that govern their services.

Termination

Termination by You

You may stop using Willow and delete your account at any time. Deletion of your account will terminate your access to the App.

Termination by Us

We reserve the right to suspend or terminate your access to Willow at any time, with or without notice, for any reason, including:

  • Violation of these Terms

  • Fraudulent, abusive, or illegal activity

  • Extended periods of inactivity

  • Requests by law enforcement or government agencies

  • Unexpected technical issues or security concerns

Effect of Termination

Upon termination:

  • Your license to use the App will immediately cease

  • You must stop using the App and delete it from your devices

  • We may delete your account and content in accordance with our Privacy Policy

  • Active subscriptions will not be refunded (except as required by law)

  • Provisions of these Terms that by their nature should survive termination will survive

Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions.

Informal Resolution

Before filing a legal claim, you agree to contact us at support@willowapp.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

Arbitration Agreement (US Users)

FOR USERS IN THE UNITED STATES:

You and we agree that any dispute arising out of or relating to these Terms or the App will be resolved through binding arbitration, rather than in court, except that:

  • You may assert claims in small claims court if they qualify

  • Either party may seek injunctive or equitable relief in court for intellectual property or data security matters

The arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitrator's decision will be final and binding.

CLASS ACTION WAIVER: You agree that disputes will be resolved on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative proceedings.

Jurisdiction (Non-US Users)

For users outside the United States, you agree to submit to the exclusive jurisdiction of the courts located in [Your Jurisdiction] for resolution of disputes.

European Union Users

If you are a consumer located in the European Union, you may have additional dispute resolution options, including access to the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding Willow and supersede any prior agreements.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by us.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction. These Terms bind and inure to the benefit of each party's permitted successors and assigns.

Force Majeure

We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service provider failures.

Export Controls

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to US government embargo or designated as a "terrorist supporting" country, and that you are not on any US government list of prohibited or restricted parties.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated (e.g., Apple as a third-party beneficiary).

Interpretation

In these Terms, "including" means "including but not limited to." Headings are for convenience only and do not affect interpretation. The English language version of these Terms shall control in all respects.
